1. Instructions on how to enter this social media photo Contest form part of the conditions of entry. By participating, you agree to be fully and unconditionally bound by these conditions rules and those of the applicable social media platform, and you represent and warrant that  you meet the eligibility criteria. In addition, You agree to accept the decisions of IBG Wines, LLC as final and binding as it relates to the content, procedures and form of this Contest.

2. The Contest consists of creating a pictures, photo or visual prominently featuring IBG Wines, LLC products and/services. Participants submissions may be featured on IBG Wines, LLC social media pages, website and other media at the sole discretion of IBG Wines, LLC. 

3. Entry is open to United States residents only and to participants who have an active Instagram and Facebook account to allow them to submit an entry in accordance with details below. 

4. Employees and their immediate families of IBG Wines, LLC, its agencies associated with this competition are not eligible to participate nor enter into this contest.

5. The contest commences on Wednesday, April 21th, 2021 and entry closes at midnight, Wednesday May 19th, 2021 (“Contest Period”). The Winner will be announced on Monday, May 21th, 2021. 

Conditions of Entry

6. Participants must be over the age of 21 as of the date of submission and IBG Wines, LLC reserves the right to conduct necessary checks in order to verify the identity, age, phone number and/or e-mail address of the participants.

7. Participants submission post must be images of high resolutions and must tag @dhosspirits in the image and caption and use a specified hashtag

8. Participants social media page must be set to public for the duration of the Contest Period and until the winner is announced.

9. Entries which do not adhere to the rules will be disqualified.

10. Participants may submit multiples entries, however, if you use fraudulent methods or otherwise attempt to circumvent the rules, your submission may be removed from eligibility at the sole discretion of IBG Wines, LLC.

Winner Selection, Prize and Notification

10. Judging and winner selection will be conducted by a Ms Lindsay Nathanson or a team as may be communicated by IBG Wines, LLC.

11. The Winner(s) shall be notified via a post or private message on Instagram and Facebook

12. The first place Prize is a DSLR camera valued at $450 and a spot in Lindsay’s Advanced Photography Class valued at $4000 (No cash substitute will be offered). The second place prize in $100 gift card. The third place prize is $50 gift card. Neither IBG Wines, LLC, Ms. Lindsay Nathanson nor any of their agents or representatives shall be responsible for the payment of any taxes required for the Prize. Participants shall be solely responsible for all taxes, fees or otherwise as required by law.

13. Participants grants to IBG Wines, LLC  a perpetual, non-transferable, worldwide, nonexclusive, royalty-free license to use any images submitted by entrant for any and all purposes including but not limited to posting on social media, digital print or outdoor advertising and marketing materials.  Notwithstanding the  foregoing,  Participants are granted the perpetual right to use their submissions for personal uses only such as portfolios and personal websites. 

Rights Granted By Participants to IBG Wines, LLC

14. By submitting an entry, participants warrant to IBG Wines, LLC that:

    1. their entry complies with these terms and conditions of entry;

    2. they own all of the rights to the entry; and

    3. their photo/video has not been entered into previous competitions, or won awards in the past or been published previously in any medium.

    4. Participants confirm and promise that their entry is original and does not infringe the intellectual property rights of any third party. Further, participant hereby grants to IBG Wines, LLC a perpetual, non-transferable, worldwide, nonexclusive, royalty-free license to use any images submitted by entrant for any and all purposes including but not limited to posting on social media, digital print or outdoor advertising and marketing materials.

15. Participants acknowledge that any use of their entry byIBG Wines, LLC during the Contest Period does not constitute endorsement of their entry or guarantee that their entry will be shortlisted or will win a prize.

16. To the extent permitted by law, participants unconditionally and irrevocably consent to any act or omission that would otherwise infringe any moral rights in their entry. Participants warrant that they have the full authority to grant these rights.

17. Participants agree that they are fully responsible for the photos and videos they submit/post.IBG Wines, LLC shall not be liable in any way for such entry, to the full extent permitted by law.IBG Wines, LLC may remove any photo/video from its websites / social media pages without notice for any reason whatsoever. Without limiting any other terms and conditions contained herein, participants agree to indemnify and hold theIBG Wines, LLC, its affiliates, agents and sub-licensees, harmless from any and all claims, damages, expenses, costs (including reasonable legal fees) and liabilities (including settlements), brought or asserted by any third party againstIBG Wines, LLC, its affiliates or sub-licensees, due to or arising out of the photos/videos submitted by an entrant or theIBG Wines, LLC’ use thereof, or an entrant’s conduct in connection with this Contest.

Release

19. By entering, you agree to release and hold harmless IBG Wines, LLC and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such your participation in the Contest and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Contest; (v) electronic or human error in the administration of the Contest or the processing of entries.

LIMITATION OF LIABILITY and INDEMNIFICATION

20. Unforeseen Damages. Neither party is liable for breach-of-contract damages that the breaching party could not reasonably have foreseen when it entered this Contract.

21.  Participant Indemnifies IBG Wines, LLC. Participant agrees to indemnify IBG Wines, LLC (and its affiliates and their directors, officers, employees, and agents) from and against all liabilities, losses, damages, and expenses (including reasonable attorneys’ fees) related to a third-party claim or proceeding arising out of: (i) the work the Participant has done under this Contract; (ii) a breach by the Participant of its obligations under this Contract; or (iii) a breach by the Participant of the promises it is making in Section 5 (Representations).

NON-DISPARAGEMENT

22. At no time (i.e., indefinitely) following the Effective Date shall either Party (i) make any statements, or take any other actions whatsoever, to disparage, defame, sully or compromise the goodwill, name, brand or reputation of the other Party or any of its affiliates, or (ii) commit any other action that could likely injure, hinder or interfere with the business relationships or Goodwill of the other Party. The Parties hereby represent and warrant that, prior to the Effective Date, neither Party has committed any of the foregoing actions described in this Section 6. 

Governing Law and Dispute Resolution

23. This Agreement will be governed by and in accordance with the laws of the State of Colorado without giving effect to any choice of law principles that would require the application of the laws of a different jurisdiction.  Any disputes under this Agreement may be brought in the state or federal courts located in Colorado, and the Parties hereby consent to the personal jurisdiction and venue of these courts.

BY ENTERING INTO THIS CONTEST, YOU, THE PARTICIPANT, HAVE AFFIRMATIVELY REVIEWED, ACCEPTED, AND AGREED TO ALL OF THE TERMS AND CONDITIONS ABOVE.
